Tennessee is an underrated HVAC exit market that's gaining attention from buyers and sellers alike. No state income tax, explosive Nashville growth, warm climate driving strong cooling demand, and increasing PE buyer activity make Tennessee one of the better Southeast markets for HVAC business exits in 2025.
Tennessee HVAC businesses sell for 2.5x–4.5x SDE. Nashville metro (Davidson, Williamson, Rutherford, Wilson counties) has the strongest buyer demand — Nashville's population growth is among the top 5 metros nationally, driving strong new construction and residential service demand. Memphis is a secondary market with solid individual and strategic buyer activity. Knoxville, Chattanooga, and smaller Tennessee markets sell primarily to individual/SBA buyers.
Tennessee has no income tax on wages, salaries, or capital gains (it eliminated investment income taxes in 2022). HVAC business sellers in Tennessee pay only federal capital gains tax — a maximum of 23.8% for long-term gains. On a $2M HVAC business sale, Tennessee sellers keep approximately $150,000–$265,000 more than sellers in comparable businesses in states with high income taxes. Corporate relocations (Oracle, Amazon, AllianceBernstein), healthcare industry growth, and entertainment sector employment have driven population and income growth. HVAC businesses in the Nashville suburbs (Brentwood, Franklin, Nolensville) serve high-income homeowners who prioritize quality service — premium market dynamics that support strong multiples.
Tennessee's climate drives strong cooling demand — hot, humid summers from June through September with temperatures regularly exceeding 90°F. HVAC businesses with strong AC maintenance agreement penetration benefit significantly from this climate. Heating demand is moderate (not as extreme as Midwest or Northeast states), which means businesses building both heating and cooling maintenance programs have the most balanced and valuable revenue profile.
